Assignment of a Trade Mark

This deed of assignment provides for the transfer of a trade mark from one party to another. It also obliges the person transferring the trade mark to provide all reasonable assistance that the transferee might require in order to actually transfer the trade mark and register that transfer.

The deed includes standard warranties from the owner of the trade mark in relation to its ownership of the rights in the trade mark and its ability to transfer those rights to the proposed transferee. It also contains standard confidentiality provisions to ensure that the terms relating to the transfer of the trade mark are kept confidential.

A trade mark is a sign which distinguishes your goods and/or services from those of competing businesses. A trade mark itself will usually be made up of words or logos or a combination of both. As these words and logos represent a particular product or service, trade marks are generally considered to be part of a business’s brand.

Trade marks can be either registered or unregistered. As you may know, trade marks are afforded a greater level of protection where they are registered. There is,however, no requirement to register a trade mark before you actually use it.

Enodare’s Deed of Assignment of a Trade Mark is widely drafted in order to allow for the transfer of all intellectual property rights in relation to a particular trade mark or set of trade marks (registered and unregistered). The deed of assignment of the trade marks also obliges the transferor to provide all assistance that the transferee reasonably requires to facilitate the transfer of the trade marks to the transferee – which may include the registration of that transfer in the patents office or other trade mark registers.
